AGREEMENT FOR GRAPHIC DESIGN

This agreement (“Agreement”) is entered into between One a Design, represented by Gehno Aviance (“Designer”), and The Owl Room (“Client”), collectively referred to as the “Parties,” to establish the terms and conditions for the provision of graphic design services by One a Design to The Owl Room.

Terms and Conditions

1. Scope of Services: One a Design agrees to provide in-house graphic design services to The Owl Room for a period of six months, starting from July 1, 2023, unless otherwise terminated as specified in this Agreement. The services include but are not limited to, the creation of in-house assets for events, such as Instagram square graphics, banners (if needed), web and print graphics, posters, and animated videos.

Additionally, One a Design will undertake the creation of weekly, monthly, and yearly calendars, as well as any other design needs, within reason, that The Owl Room may require. This may include signage for the club, animated GIFs for residents and advisors, campaigns, promotional videos, and other design requests as they arise.

• Compensation: The Owl Room agrees to pay One a Design a weekly fee of $200 for the duration of this Agreement. The payment shall be made every week, no later than 1 week after invoicing. Any additional expenses incurred in the provision of the graphic design services shall be discussed and agreed upon by both Parties in advance.

• Ownership and Rights: Upon receipt of full payment, The Owl Room shall have ownership and exclusive rights to all final designs and assets created by One a Design during the term of this Agreement. However, One a Design/Designer retains the right to showcase the work as part of their portfolio and promotional materials.

• Confidentiality: Both Parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of this Agreement. This includes but is not limited to, design concepts, business strategies, and any other sensitive information. The confidentiality obligations shall survive the termination of this Agreement.

• Term and Termination: This Agreement shall commence on July 1, 2023, and continue for a period of six months unless terminated earlier by either Party. Either Party may terminate this Agreement by providing written notice to the other Party with a minimum of 14 days prior to the desired termination date.

• Extension: At the end of the initial six-month term, both Parties may discuss and mutually agree to extend this Agreement for an additional period. Any extension shall be in writing and signed by both Parties.

• Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of  California. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Sacramento, CA.
